TERMS AND CONDITIONS:
Agreement Formation:
The agreement form constitutes a binding written agreement between the Advertiser and the Client.
The agreement becomes effective upon written acceptance by an authorised organisation employee and remains valid for the stipulated agreement period (ranging from twelve (12) to sixty (60) months).
The signatory on the agreement warrants that he/she is the duly authorized representative of the Client and that he/she is mandated to place advertisements on behalf of the Client.
The Client agrees and accepts that in the event that the authorized representative who concluded the agreement leaves the employ of the Client for any reason whatsoever such authorized representative’s actions shall at all times remain binding on the Client and it may not raise the defence of lack of authority.
Agreement Duration and Renewal:
The agreement shall commence on the date of signature and remain in force for the stipulated agreement term. In the absence of a letter of cancellation from the Client to the Advertiser, on the Client’s official letterhead and signed by the Client’s duly authorized representative, twenty-one (21) days prior to the expiry of the initial period the agreement shall automatically continue into the new financial year and the Client shall be invoiced for the amount stipulated in the initial agreement. The agreement is binding on successors and assigns of the signatory.
Billing and Payment Terms:
Payment is due upon presentation of invoice. Outstanding accounts will incur interest at 15.5% per annum.
The Client hereby agrees that payment shall be due to the Advertiser upon the Client being furnished with proof of publication, whether by way of a hard copy or online, and undertakes to make payment to the Advertiser immediately upon being furnished with such proof of publication. All payments must be made strictly via Electronic Funds Transfer.
Liability
Ubuntu Media Live and its Related Persons shall not incur any liability whatsoever as a result of any failure, corruption, interruption or other such event which may affect or render any website in respect of which services have been rendered, temporarily or permanently unavailable.
Ubuntu Media Live does not guarantee return on investment, reach of our publication, site or target audience. Any statistics related to the site provided to you by Ubuntu Media Live are provided as an estimate based on prevailing available research only and may not be relied upon by the Advertiser as representation or otherwise
Cancellations and Legal Jurisdiction:
Cancellations are only accepted within five (5) working days from the date of signature.
All legal matters will fall under the jurisdiction of the KwaZulu-Natal Magistrate Court. Clients are responsible for all legal and collection costs incurred.
Entire Agreement:
This agreement supersedes all prior discussions or communications—whether written or verbal—and becomes legally binding from the date of signature when executed in paper form. No additional terms or representations outside of this document shall apply.
